Diese allgemeinen Geschäftsbedingungen gelten für Bestellungen, Lieferungen und Leistungen innerhalb der Bundesrepublik Deutschland , der Europäischen Union sowie Verkäufe über Online Verkaufsplattformen, wie z.B. ebay oder amazon . Vertragssprache ist Deutsch.

Für Bestellungen, Lieferungen und Leistungen außerhalb der Europäischen Union gelten unsere erweiterten englischsprachigen Geschäftsbedingungen, die Sie unter ..... einsehen können.

1.2 Unsere Allgemeinen Geschäftsbedingungen (AGB) sind Vertragsbestandteil und gelten für alle, somit auch zukünftigen Geschäfte, Lieferungen und Leistungen mit de m Besteller . Die AGBs werden vo m Besteller in vollem Umfang in der zum Zeitpunkt des Geschäftsabschlusses geltenden Fassung akzeptiert. Von diesen Bedingungen  abweichende , anderslautende Regelungen, insbesondere auch abweichende Geschäftsbedingungen des Ku nden werden nicht Vertragsbestandteil und hiermit widersprochen. Dies gilt selbst für den Fall, dass die EURAFCO GmbH in Kenntnis solcher Bedingungen an Sie Lieferungen und/oder Leistungen erbringt . Der Kunde ist Verbraucher, soweit der Zweck der georderten Lieferungen und Leistungen nicht seiner gewerblichen oder selbständigen beruflichen Tätigkeit zugerechnet werden kann. Unternehmer ist jede natürliche oder juristische Person sowie rechtsfähige Personengesellschaft, die beim Abschluss des Vertra gs in Ausübung ihrer gewerblichen oder selbständigen beruflichen Tätigkeit handelt (vgl. § 13 und 14 Abs. 1 BGB).

1.3. Ihre Registrierung zu unserem Webshop erfolgt kostenlos. Ein Anspruch auf Zulassung besteht nicht. Zur Zulassung füllen Sie entweder ein v orhandenes Anmeldeformular aus und senden uns dieses elektronisch zu oder sie senden die Anfrage direkt per Mail. Die für die Anmeldung erforderlichen Daten sind vollständig und wahrheitsgemäß abzugeben. Mit der elektronischen Anmeldung wählen Sie einen pe rsönlichen Nutzernamen und ein Passwort. Der Nutzername darf weder gegen Rechte Dritter noch gegen sonstige Namens - oder Markenrechte sowie die guten Sitten verstoßen. Sie sind verpflichtet Ihr Passwort geheim zu halten. Abgesehen von der Erklärung Ihres E inverständnisses zu diesen AGBs ist Ihre Registrierung mit keinerlei Pflichten verbunden. Sie sind für die Aktualisierung Ihrer Daten alleinverantwortlich.

2. Angebote, Bestellung und Vertragsabschluss

2.1. Alle unsere Angebote sind stets freibleibend und unverbindlich. Ihre Bestellung stellt ein verbindliches Angebot an uns dar, welches wir mit Versendung Ihrer Bestellung oder mit Übersendung einer gesonderten Annahmeerklärung per E - Mail (nicht jedoch durch die automatische Bestellbestätigung ) annehmen. Über Produkte aus ein und derselben Bestellung, die nicht an Sie versendet werden können oder die nicht in der Annahmeerklärung aufgeführt sind, kommt kein Kaufvertrag zustande.

2.2. Sie können bei uns nur als Volljähriger bestellen. Minderjährige bedürfen für eine Bestellung bei uns der Zustimmung ihrer Erziehungsberechtigten. Auf unsere Aufforderung hin haben Sie uns eine Kopie Ihres Personalausweises und ggf. eine schriftliche Zusti mmungserklärung der Erziehungsberechtigten zu übermitteln.

2.3. Die in Angebotserklärungen, Katalogen, Onlineshops, Prospekten, Preislisten, Zeichnungen und ähnlichen Unterlagen enthaltenen Angaben über Maße, Gewichte, Leistungen oder Material erfolgen sorgfältig, jedoch unverbindlich. Sämtliche Abbildungen sind beispielhaft. Aufgrund von technischen Änderungen der Hersteller können Artikel in Abmessung, Farbe und Form abweichen. Preisänderungen, technische Änderungen, Irrtümer, Druckfehler oder Zwischen verkäufe behalten wir uns ausdrücklich vor.

2.4. Nebenabreden sind nur wirksam, sofern diese schriftlich bestätigt sind.

3. Preise

In unserem Webshop sind die Preise in EURO inklusive der gesetzlichen Mehrwertsteuer ohne Skonto und sonstige Nachlässe ausgewiesen. Die Versandkosten werden extra ausgezeichnet und regeln sich nach Punkt 6 dieser AGB . Es gelten die jeweiligen Preise zum Z eitpunkt der Bestellung. Etwaige landesübliche Einfuhrumsatzsteuern etc. sind vo m Kunden zu tragen. Die in unserem Shop zur Verfügung gestellte Möglichkeit der Anzeige von Fremdwährungen dient nur zur Information und ausgewiesene Beträge in Fremdwährungen stellen nur Richtwerte dar.

4. Zahlung , Aufrechnung , Zurückbehaltungsrecht

4.1. Der Kaufpreis inklusive sämtlicher Kosten ist mit Vertragsschluss fällig, die Zahlungen sind rein netto ohne Skonti oder sonstige Abzüge zu leisten, solange nicht ausdrücklich ein anderer Zahlungsmodus schriftlich vereinbart wird.

4.2. Ist die Fälligkeit der Zahlung nach dem Kalender bestimmt, so kommen Sie bereits durch Versäumung des Termins in Verzug. Bei Verzug sind wir berechtigt, Verzugszinsen in Höhe von 5% über dem von der Europ äischen Zentralbank bekannt gegebenen Basiszinssatz p.a. geltend zu machen. Darüber hinausgehende Schadensersatzansprüche bleiben hiervon unberührt.

4.3. Sofern der Kunde Unternehmer ist, gelten des Weiteren die folgenden Regelungen: Sollten der EURAFCO GmbH nachträglich Umstände bekannt werden, aus denen sich eine wesentliche Verschlechterung des Vermögens des Kunden ergibt, die geeignet ist Zahlungsansprüche der EURAFCO GmbH gegenüber dem Kunden zu gefährden, ist die EURAFCO GmbH na ch den gesetzlichen Vorschriften zur Leistungsverweigerung und evtl. nach Fristsetzung zum Rücktritt vom Vertrag (§ 321 BGB) und/oder bei noch ausstehenden Lieferungen zur Forderung einer Vorauszahlung oder Sicherheitsleistung berechtigt.

4.4. Zahlungsmöglich keiten: Vorkasse: Nach Eingang Ihrer Bestellung übermitteln wir Ihnen unsere Kontoverbindung mit der Bestellbestätigung und Sie überweisen uns den Rechnungsbetrag. Nach Eingang Ihrer Zahlung liefern wir Ihre Bestellung entsprechend der Regelungen dieser A GBs aus.

(American Express, Mastercard und VISA). Die Zahlung per Kreditkarte erfolgt über PayPal, für die jedoch keine Anmeldung bei PayPal selbst notwendig ist sondern auch über ein PayPal Gastkonto abgewickelt werden kann. Weitere Informationen erhalten Sie im Internet unter www.paypal.de

Rechnung

Diese Zahlungsart bieten wir nur gewerbliche n Kunden, Stammkunden sowie Behörden, Universitäten und Schulen des Bundes, der Länder und Kommunen an . Rechnun gen sin d zahlbar innerhalb von 8 Tagen abzgl. 3 % Skonto, 30 Tage netto. Beträge unter 75 Euro sind zahlbar innerhalb von 10 Tagen rein netto. In besonderen Fällen behalten wir uns das Recht vor, eine Zahlung auf Rechnung abzulehnen und Sie stattdessen auf eine an dere Zahlungsart zu verweisen.

4.5. Gegen unsere Ansprüche können Sie nur dann aufrechnen, wenn Ihre Gegenforderung unbestritten ist oder ein rechtskräftiger Titel vorliegt. Außerdem sind Sie zur Ausübung eines Zurückbehaltungsrechts nur insoweit befugt, als I hr Gegenanspruch auf dem gleichen Vertragsverhältnis beruht.

5. Eigentumsvorbehalt und Sonderanfertigungen

5.1. Die gelieferte Ware bleibt bis zur vollständigen Bezahlung im Eigentum der EURAFCO GmbH.

5.2. Sofern der Kunde Unternehmer ist, gelten des Weiteren die folgenden Regelungen: Der Kunde ist berechtigt, die Ware im ordnungsgemäßen Geschäftsgang weiter zu verkaufen. Er tritt jedoch an uns – soweit dies gesetzlich zulässig ist – sämtliche aus dem Weiter verkauf entstehenden Forderungen sicherungshalber im vollen Umfang ab. Der Kunde ist widerruflich ermächtigt, die an uns abgetretenen Forderungen für unsere Rechnung im eigenen Namen einzuziehen. Diese Einzugsermächtigung kann nur widerrufen werden, wenn d er Kunde seinen Zahlungsverpflichtungen nicht ordnungsgemäß nachkommt. Wir sind verpflichtet, die uns zustehenden Sicherungen insoweit freizugeben, als ihr Wert die zu sichernden Forderungen, soweit diese noch nicht beglichen sind, um mehr als 20 % überste igt. Bei Zugriffen Dritter auf die Ware wird der Kunde den Dritten auf unser Eigentum hinweisen und uns unverzüglich von dem unberechtigten Zugriff benachrichtigen. Kosten und Schäden des unberechtigten Zugriffs trägt der Kunde.

5.3. Bei Sonderanfertigungen be halten wir uns eine Mehr - oder Minderlieferung bis zu 10% vor. Ein Rücktritt vom Vertrag ist bei Sonderanfertigungen und Kommissionsaufträgen (Artikel und Abmessungen außerhalb des jeweils gültigen Sortiments ) sind ausgeschlossen. Mündliche Angaben über Aus führung, Abmessungen und dergleichen bedürfen unserer schriftlichen Bestätigung. Mehrkosten, die durch Angabe falscher Maße oder Daten entstehen, werden dem Käufer in Rechnung gestellt.

6. Versandkosten

6.1. Zusätzlich zum Warenwert sind die beim Bestellabschluss ausgewiesenen Versandkosten zu entrichten. Die anfallenden Versandkosten sind über eine entsprechend bezeichnete Schaltfläche auf unserer Internetpräsenz einsehbar und werden im Laufe des Bestellvorgangs gesondert ausgewiesen.

6.2. Wir behalte n uns ausdrücklich das Recht vor, falls erforderlich und bedingt durch die Eigenart des Auftrages (insbesondere z.B. bei Versand ins Nicht - Europäische Ausland; bei Bestellungen von größeren Stückzahlen), nach Rücksprache mit Ihnen höhere Versandkosten zu v erlangen. Soweit Sie einer Anpassung der Versandkosten nicht zustimmen, haben Sie die Möglichkeit, Ihre Bestellung zu stornieren. Bereits getätigte Zahlungen werden Ihnen in diesem Fall unverzüglich zurückerstattet.

7. Lieferung

7.1. Sofern nicht anders vereinbart und die Ware vorrätig ist, erfolgt die Lieferung ab unserem Lager an die von Ihnen angegebene Lieferadresse. Angaben über die Lieferfrist sind unverbindlich, soweit der Liefertermin verbindlich zugesagt wurde.

7.2. Ist die von Ihnen in der Bestellung bezeichnete Ware oder ein Teil davon nur vorübergehend nicht verfügbar, teilen wir Ihnen dies in der Auftragsbestätigung mit. Entsprechendes gilt soweit eine Ware oder ein Teil davon gar nicht mehr lieferbar ist. Bei einer Lieferungsverzögerung von mehr als vier Wochen haben die Parteien das Recht, sich von den jeweiligen Willenserklärungen zu lösen. Eventuell bereits geleistete Zahlungen werden unverzüglich zurückerstattet.

7.3. Soweit eine Lieferung aus Gründen, die in der Sphäre des Kunden liegen, nicht möglich ist, trägt der Kunde die Kosten für die erfolglose Anlieferung.

7.4. Bei Verbrauchern geht die Gefahr des zufälligen Untergangs und der zufälligen Verschlechterung der verkauften Ware beim Versendungskauf mit der Übergabe der Ware an den Verbrau cher oder einen von ihm bestimmten Empfänger über. Dies gilt unabhängig davon, ob der Versand versichert erfolgt oder nicht. Zur Erfüllung des Vertrages mit gewerblichen Kunden, die keine Verbraucher sind, ist die EURAFCO GmbH berechtigt, Teillieferungen d urchzuführen. Der gewerbliche Käufer trägt die Gefahr, auch bei frachtfreier Lieferung, von dem Zeitpunkt an, zu dem wir oder unsere Beauftragten die Ware einem Spediteur oder Frachtführer ausgeliefert oder auf eigene Fahrzeuge zum Zweck des Transports an den Empfänger verladen haben.

8. Gewährleistung – Haftungsbeschränkungen

8.1. Wir haften für Mängel nach den gesetzlichen Bestimmungen, soweit die Haftung nicht gemäß den nachfolgenden Regelungen ausgeschlossen oder beschränkt ist. Eine Abtretung entsprechender Ansprüche ist ausgeschlossen.

8.2. Soweit nicht abweichend vereinbart, gilt für Mängel die gesetzliche Gewährleistungsfrist von 24 Monaten ab Lieferung. Für Mängelrügen durch Kaufleute beträgt die Gewährleistungspflicht auf von uns gelieferte Ware 12 Monate.

8.3. Sie sind verpflichtet, uns die Überprüfung der fehlerhaften Ware zu gestatten. Sind Sie Kaufmann und ist die Geltendmachung des Mangelanspruchs nicht ausgeschlossen worden, so leisten wir für Mängel zunächst nach Ihrer Wahl Gewähr durch Nachbesserung oder Ersatzlieferung (Nacherfüllung). Sind Sie hingegen Verbraucher, so haben Sie die Wahl die Gewährleistung durch Nacherfüllung (Nachbesserung oder Ersatzlieferung), Rücktritt vom Vertrag oder Minderung des Kaufpreises geltend zu machen. Soweit Sie Nacherfül lung wählen, haben Sie uns zunächst eine angemessene Nachfrist zu setzen, soweit diese nicht aus gesetzlichen Gründen entbehrlich ist. Wir sind jedoch berechtigt, die Art der durch Sie gewählten Nacherfüllung zu verweigern, wenn diese nur mit unverhältnism äßigen Kosten möglich oder die Nachlieferung für uns unmöglich ist.

8.4. Keine Gewährleistungspflicht besteht für Schäden durch normale Abnutzung sowie unsachgemäße Handhabung. Bei Rücksendung zu Recht beanstandeter Ware tragen wir die Gefahr und Kosten. Die e rneute Zustellung der Ware erfolgt ebenfalls auf unsere Kosten.

8.5. Ansprüche auf Schadensersatz sind ausgeschlossen. Hiervon ausgenommen sind Schadensersatzansprüche aus der Verletzung des Lebens, des Körpers, der Gesundheit oder aus der Verletzung wesentlicher Vertragspflichten sowie die Haftung für sonstige Schäden, die auf einer vorsätzlichen oder grob fahrlässigen Pflichtverletzung durch uns. Wesentliche Vertragspflichten sind solche, deren Erfüllung zur Erreichung des Ziels des Vertrags notwendig ist. B ei der Verletzung wesentlicher Vertragspflichten haften wir nur auf den vertragstypischen, vorhersehbaren Schaden, wenn dieser einfach fahrlässig verursacht wurde, es sei denn, es handelt sich um Schadensersatzansprüche aus einer Verletzung des Lebens, des Körpers oder der Gesundheit. Wir haften auch nicht für ständige und ununterbrochene Verfügbarkeit unseres Webshops. Die vorstehenden Einschränkungen gelten auch zugunsten unser gesetzlichen Vertreter und Erfüllungsgehilfen, soweit Ansprüche direkt gegen d iese geltend gemacht werden. Die Haftung nach dem Produkthaftungsgesetz bleibt unberührt.

8.6. Eine Garantie besteht bei der von uns gelieferter Ware nur, wenn diese ausdrücklich in der Auftragsbestätigung zu dem jeweiligen Artikel abgegeben wurde.

9. Datenschutz

9.1. Im Umgang mit Ihren persönlichen Daten halten wir uns an alle Bestimmungen des Datenschutzgesetzes und des Telemediengesetzes und sind berechtigt, alle, die Geschäftsbeziehung mit Ihnen betreffenden Daten, unter Beachtung dieser Gesetze zu ver arbeiten und zu speichern.

9.2. Weitere Informationen über Art, Umfang, Ort und Zweck der Erhebung, Verarbeitung und Nutzung der für die Ausführung von Bestellungen erforderlichen personenbezogenen Daten finden Sie in der Datenschutzerklärung.

9.3. Des Weiteren sind wir nach geltendem Recht befugt, von Handels - und Wirtschaftsauskunfteien Angaben über Ihre Kreditwürdigkeit einzuholen.

9.4. Datenschutzbeauftragter des Unternehmens ist Rechtsanwalt Andreas Alfred Brandt, Rauchstraße 31, 22043 Hamburg.

10. Salvatorische Klausel

Sollten einzelne dieser Geschäftsbestimmungen ganz oder zum Teil unwirksam sein oder werden, wird davon die Wirksamkeit der übrigen Bestimmungen nicht berührt. Die unwirksame Bestimmung wird von den Vertragsparteien einvernehmlich durch eine rechtswirksame Bestimmung ersetzt, welche dem wirtschaftlichen Sinn und Zweck der unwirksamen Regelung der unwirksamen Bestimmung am nächsten kommt. Die vorstehende Regelung gilt entsprechend bei Regelungslücken.

11. Rechtswahl / Gerichtsstand

Soweit gesetzlich zulässig, gilt deutsches Recht unter Ausschluss des UN - Kaufrechts (CISG). Zwingende Bestimmungen des Staates, in dem Sie Ihren gewöhnlichen Aufenthalt haben, bleiben unberührt. Sofern Sie keine allgemeinen Gerichtsstand im Inland haben oder nach Vertra gsschluss Ihren Wohnsitz ins Ausland verlegen oder Ihr Wohnsitz zum Zeitpunkt der Klageerhebung nicht bekannt ist, ist Gerichtsstand für Streitigkeiten der Sitz unseres Unternehmen in Rellingen/Pinneberg.

1. Scope

This international terms & conditions are valid for orders, deliveries and services outside of the European Union. For orders, deliveries and services within Germany, the European Union and through sales platforms like ebay and amazon applies our German terms and conditions:

1.2. All of EURAFCO’s deliveries, services and offers shall be made exclusively on the basis of these General Terms & Conditions of Delivery. These General Terms & Conditions of Delivery shall form part of all agreements entered into between EURAFCO GmbH and its contractual par tners (hereinafter also referred to as "Purchaser") with regard to deliveries or services offered by EURAFCO GmbH . They shall also apply to future deliveries, services or offers to the Purchaser, even if not being referred to explicitly.

1.3. Purchaser's gener al terms & conditions shall not apply unless EURAFCO GmbH has explicitly agreed to their applicability in writing. EURAFCO ’s General Terms & Conditions of Delivery shall also apply if EURAFCO GmbH unconditionally effects deliveries to the Purchaser even aw are that the Purchaser's terms and conditions conflict with or deviate from its own.

2. Conclusion of contract and delivery of products

2.1. All offers made by EURAFCO GmbH are subject to change without notice and non - binding unless explicitly designated as binding or specifying a fixed timeframe for acceptance. No contract shall enter into force until EURAFCO GmbH has provided a written or electronic order confirmation. The written or electronic order confirmation shall determine the scope of delivery. All a ncillary agreements and amendments have to be confirmed in writing or electronically by EURAFCO GmbH to be valid.

2.2. EURAFCO GmbH reserves the right to modify the design or shape of the delivery items to be delivered unless (i) such modifications substantial ly alter the delivery items to be delivered and are unacceptable to the Purchaser or (ii) EURAFCO GmbH and the Purchaser have explicitly agreed on the binding character of data provided by EURAFCO GmbH as regards the delivery items (e.g. weight, dimensions , utility values, load capacity, tolerances, technical data) or of depictions of the same (e.g. drawings, illustrations). The afore - mentioned information from EURAFCO GmbH relating to the delivery items to be delivered or services to be provided – as well as respective depictions are neither guaranteed nor do they constitute an agreement on assured properties unless explicitly confirmed otherwise by EURAFCO GmbH in writing or electronically. If no such written or electronic confirmation is provided by EURAF CO GmbH , the afore - said information merely constitutes a non - binding description or qualification of the delivery items or services from which deviations pursuant to the first sentence of this section 2.2. Section 2 is admissible. If EURAFCO GmbH and the Purchaser have explicitly agreed on the binding character of specific data, EURAFCO GmbH may only make modifications to delivery items to be delivered or services to be rendered if such modifications are required under mandatory statutory provis ions and ar e acceptable to the p urchaser. If the modifications are unacceptable, the Purchaser is entitled to withdraw from the contract. Any further claims shall be excluded.

2.3. EURAFCO GmbH retains title and copyright to all utilities, drawings, specifications, sampl es and other similar items which are provided to the Purchaser. They may not be made available to third parties without EURAFCO ’s prior express written consent.

3. Prices and payment

3.1. The prices apply for the scope of the delivery or services specified in the order confirmation. Any additional or special deliveries or services will be charged separately. Unless explicitly agreed otherwise, the prices shall be in Euro exclusive of packaging and VAT. Customs duties, taxes, charges and similar levies which EU RAFCO GmbH is required to pay will be charged separately. All currency conversion displayed at the shop website are reference values and for information only. Any statements in foreign currencies shall not be legally binding.

3.2. Orders for which the parties have agreed that the time of delivery shall be later than one months after conclusion of the respective contract or orders which are executed later than one months after conclusion of the respective contract for reasons within the Purchaser’s responsibilit y, shall be invoiced in accordance with EURAFCO’s price list effective on the date of delivery, plus the afore - said material price surcharge applicable on that date.

3.3. If relevant cost factors – such as costs of energy, wages, transportation and insurance – should increase substantially (i.e. by at least 10%) after EURAFCO's submission of an offer or confirmation of an order or conclusion of a framework agreement providing for fixed prices, EURAFCO GmbH shall be entitled – applying the provision above – to i ncrease the prices by a reasonable amount mutatis mutandis. Purchaser's interests shall be duly taken into account in this process, particularly with regard to possible commitments of the Purchaser relating to the onward delivery of the delivery items at a fixed price.

3.4. All invoiced amounts shall be payable by direct debit without any deductions unless otherwise agreed upon in writing. In the latter case, the date on which the payment is credited to Eurafco's bank account is decisive for timely payment.

Invoice:

This payment option is only offered to commercial customers, regular clients and on request. Invo ices shall be paid within 8 days less a 3 % cash discount, within 30 days net, beginning with the date of the invoice. Amounts less than 75 Euro net shall be paid within 10 days without any discount. In particularly justified cases, we reserve the right to refuse orders by invoice and refer to a different type of payment instead.

3.5. If the Purchaser does not affect payment by the due date, the outstanding amounts shall be subject to interest of 5% p.a. as of the due date; in the event of default of payment, the Purchaser shall pay default interest at the rate of 8 percentage points above the prime lending rate (base lending rate). EURAFCO GmbH reserves the right to prove that higher damages have been incurred due to the default of payment.

3.6. The Purchaser is only entitled to set off own claims if its counterclaims have been judicially determined as non - appealable, are undisputed or have been acknowledged by EURAFCO GmbH . The Purchaser may only exercise a right of retention if its counterclaim arises from the same contractual relationship.

3.7. EURAFCO GmbH is entitled to insist on advance payment or the rendering of sureti es by the Purchaser for outstanding deliveries if it becomes aware of circumstances which may substantially impair the Purchaser's creditworthiness and, as a result of which, at EURAFCO's due discretion, jeopardize payment of the Purchaser's accounts payab le at EURAFCO GmbH in connection with relevant orders, including accounts payable in respect of individual orders which are governed by the same framework contract.

3.8. Unless explicitly agreed upon otherwise with the Purchaser, all payments must be made in E uro and exclusively to EURAFCO GmbH.

4. Delivery and delivery period

4.1. If EURAFCO GmbH explicitly warrants or has agreed on a fixed delivery period or date the order confirmation shall govern the applicable delivery periods. In any other cases all periods and dates mentioned by EURAFCO GmbH have to be understood as determining the date of delivery merely approximately. The delivery period shall not commence until any agreed advance payments have been received. The delivery deadline is met if the del ivery items were handed over prior to its expiry to the Purchaser's carrier at the place of lading as designated in the order confirmation.

4.2. Partial deliveries shall be admissible to a reasonable extent if such delivery can be used by the Purchaser for the contractually agreed purpose, if the delivery of the remaining delivery items is warranted and if the Purchaser will not incur any additional costs or expenses as a result.

4.3. If a delivery is postponed at the Purchaser's request, EURAFCO GmbH reserves the right to charge any additional costs incurred as a result to the Purchaser.

4.4. The delivery of the delivery items to the Purchaser shall be subject to EURAFCO GmbH itself being supplied properly and in due time by its own suppliers.

4.5. If EURAFCO GmbH is in default of delivery or unable to effect delivery at all, the Purchaser shall be entitled to withdraw from the contract in accordance with statutory provisions. Claims for damages for default of delivery or impossibility of performance shall only be due to the purchaser under the provisions of section VIII of these General Terms & Conditions of d elivery.

4.6. If deliveries are delayed due to force majeure, EURAFCO GmbH shall have the right to extend the delivery period for the duration of the event causing the d elay plus a reasonable time for run - up or to cancel the contract due to the unperformed part of the contract either in part or in full. The same shall apply in the event of strikes, lock - outs, political unrest and unforeseen circumstances such as interrupt ions of operations which prevent EURAFCO GmbH from effecting timely delivery despite making reasonable efforts to do so. This shall furthermore apply if the afore - mentioned events occur at a time at which EURAFCO GmbH is already in default of delivery or a ffect a supplier of EURAFCO GmbH . EURAFCO GmbH will inform the Purchaser without undue delay in case such an event of force majeure pursuant to this provision occurs. The Purchaser may request EURAFCO GmbH to declare within a period of six weeks whether it intends to cancel the contract due to the non - performed part of the contract in part or full or whether it will effect delivery within a reasonable additional period of time. If EURAFCO GmbH does not respond to the Purchaser’s request within the afore - men tioned timeframe, the Purchaser may withdraw from the part of the contract which has not been fulfilled yet.

5. Packaging, passing of the risk and Purchaser's acceptance of the delivery items

5.1. Unless otherwise explicitly agreed upon, EURAFCO GmbH shall select the type of packaging to be used at its sole discretion.

5.2. The risk shall pass on to the Purchaser, at the latest, when the delivery items are handed over to the carrier commissioned by the Purchaser at the place of lading as designated in the order confirmation. The same shall apply in case of partial deliveries. Purchaser shall be in default of acceptance if, having received notification from EURAFCO GmbH that the delivery items are ready for dispatch, it refuses to take over the delivery items on the specified date or does not pick - up or commission a carrier to pick up the delivery items on the specified date.

5.3. If the Purchaser is in default of acceptance of the delivery items or fails to comply with other duties to cooperate, EURAFCO GmbH shall be entitled to demand compensation for any damages incurred, including any additional expenses resulting there from. In this case, the risk of accidental loss or deterioration of the purchased item passes on to the Purchaser. After expiry of an appropriate a dditional period of time for acceptance set by EURAFCO GmbH , EURAFCO GmbH shall be entitled to either otherwise dispose of the delivery items or to effect delivery to the Purchaser within a reasonably prolonged period of time.

5.4. Without prejudice to its rig hts under Clause VII of these General Terms & Conditions of Delivery, the Purchaser shall be obliged to accept the delivery items delivered even in case that the items show negligible defects and may only be returned to EURAFCO GmbH under the condition pre cedent that the Purchaser is entitled to withdraw from the contract in accordance with section 7.3.

6. Retention of title

6.1. EURAFCO GmbH reserves title to the delivery items until any and all claims against the p urchaser arising from the business relationship have been settled, including future claims arising from agreements concluded concurrently or at a later time. This shall also apply if individual or all of EURAFCO’s claims are included in a current account a nd the balance has been stricken and accepted.

6.2. If EURAFCO GmbH withdraws from the contract due to the Purchaser's breach of contract, in particular due to the Purchaser's delayed payment, the Purchaser shall bear all costs associated with EURAFCO's repossession of the supplied delivery items. In the event of seizures or other interventions of third parties, the Purchaser must immediately notify EURAFCO GmbH in writing, provide all necessary facts and inform the third party about the existing ownershi p situation. The Purchaser must not pledge or transfer title of the delivery items as collateral. The Purchaser shall handle the supplied delivery items with due care.

7. Claims for defects/ limitation period

7.1. The Purchaser’s ( NON CONSUMER) claims based on defects of the delivery items require that it has properly complied with its obligations to inspect and complain under section 377 of the German Commercial Code ( German Commercial Code , HGB). Purchaser is required to provide notice of defects in w riting to EURAFCO GmbH , precisely specifying the type and extent of the defect so that EURAFCO GmbH can examine whether the notice of defect is justified. Furthermore, Purchaser (NON CONSUMER) shall inspect the supplied delivery items immediately after rec eipt for damages during transportation. The Purchaser shall note any damage discovered thereby on the bill of lading, such objection being countersigned by the carrier, and notify EURAFCO GmbH respectively in writing.

7.2. I f the supplied delivery items are de fective, EURAFCO GmbH shall be entitled at its own discretion to either remedy the defect or supply a replacement item. EURAFCO GmbH shall pay all costs associated with subsequent performance pursuant to section 439, paragraph 2 of the German Civil Code ( B GB). If the Purchaser asserts a justified claim for costs against EURAFCO GmbH in this connection as a result of the deployment of own employees, delivery items or devices, Purchaser's claim for the reimbursement of such costs shall be limited to its own c osts.

7.3. If EURAFCO GmbH is not willing or able to remedy the defect or supply a replacement item, if it refuses to do so or exceeds reasonable time limits for reasons within its own liability, or if it fails at least twice to remedy the defect for other rea sons, Purchaser shall be entitled at its discretion to withdraw from the contract or demand an appropriate reduction of the purchase price.

7.4. Purchaser shall not be entitled to withdraw from the contract due to the delivery of defective delivery items if it is not able to return the performance received and this is not due to the fact that the nature of the performance makes this impossible, the impossibility is within EURAFCO’s responsibility or the defect did not become apparent until the item had been pro cessed or converted. In case of delivery of defective delivery items or of partial performance, the Purchaser shall only be entitled to withdraw from the entire contract or demand compensation for damages in lieu of performance in accordance with the follo wing provisions if it has no interest in the performance provided, judged by objective criteria. 7.5. For essential third party products, EURAFCO's liability shall be limited to the assignment of the claims to which EURAFCO GmbH is entitled in relation to the supplier of the third party product. If the claim against the supplier of the third party product is not honored for reasons which are not within the Purchaser’s responsibility (e.g. due to the supplier's insolvency), the Purchaser shall be entitled to tho se claims for defects against EURAFCO GmbH which are provided for in the provisions of this section.

8. Consumer Rights/ Right of rescission

8.1. If the Purchaser has resold an item supplied by EURAFCO GmbH to a consumer within the meaning of section 13 of the German Civil Code, (so - called "consumer goods purchase") and the item was returned to the Purchaser by the consumer as a result of a defect or the consumer reduced the purchase price, the Purchaser may, deviating from section

8.3, either demand reme dy of the defect, request the delivery of a replacement item, withdraw from the contract or reduce the purchase price.

8.2. Any claims for defects of the delivery items are excluded in case the Purchaser reworks or engages a third party to rework the delivery items without EURAFCO's consent and this unreasonably complicates the process of remedying the defect or renders it impossible. In any case, the Purchaser is required to pay any resulting additional costs in connection with remedying the defect. No liabili ty is accepted for damage resulting from the following:

  • Unsuitable or improper use, particularly violations of EURAFCO's processing guidelines.
  • Incorrect assembly or commissioning by the Purchaser or a third party, unless attributable to e rroneous assembly instructions provided by EURAFCO GmbH.
  • Modifications to the delivery items by the Purchaser or a third party.
  • Natural wear and tear, unless explicitly guaranteed otherwise by EURAFCO GmbH.
  • Incorrect or negligent handling or storage.
  • Unsuitable con sumables, replacement materials.
  • Chemical, electrochemical or electrical effects, unless these are the fault of EURAFCO GmbH.

8.3. The statue of limitations for claims for defects of the delivery items delivered is one year starting from the passing of the risk. This also applies to the statute of limitations for claims under section 823 of the German Civil Code based on a defect of the delivery items.

8.4. The Consumer may cancel the contract at any time but no later than 7 working days after the day you received the product by: sending the notice of cancellation by email ensuring that you quote your name, address and order reference number; or where you have already received the goods, following our returns authorization procedure – by contacting Play.co m by email or phone. We will provide you with a returns authorization number along with details on how and where to send your item. Wrap the item securely and include the original invoice along with your returns authorization number. You must ensure that t he goods are packaged adequately to protect against damage. If you fail to take reasonable care of the goods before they are returned to us, and these results in damage or deterioration, we will charge you for the reduction in value.

8.5. Items that are exclud ed from the right to cancel include the following: (a) goods made to specification or otherwise personalized; (b) unsealed optical media and computer software. EURAFCO GmbH will refund your credit card once we have received and processed the item as soon a s possible and in any event within 30 days of notice of cancellation. You will be liable for any charges incurred in returning the goods to Play.com or if you fail to return goods you will be liable for any charges incurred in relation to attempts to colle ct the goods.

9. Claims for damages

9.1. EURAFCO's liability for damages, based on whatever legal grounds, in particular impossible, delayed, defective or incorrect delivery, breach of contract, breach of obligations in contractual negotiations and tort, is limited as specified in this section 9.

9.2. EURAFCO GmbH shall be liable under the statutory regulations for damages caused by willful acts and gross negligence of its legal representatives and executives, for injury to life, body and health, for expl icitly guaranteed features of the delivery items and in accordance with the German Product Liability Act.

9.3. In any other cases than those pursuant to section 9.2, EURAFCO GmbH shall not be liable for a) Slight negligence on the part of its legal representat ives, executives, employees or other vicarious agents; b) Gross negligence on the part of non - managerial employees or other vicarious agents, unless such negligence constitutes a breach of a cardinal obligation. Cardinal obligations in the afore - mentioned sense shall be such obligations which are essential to the proper performance of the contract and which contractual partners may typically expect to be met. Furthermore, EURAFCO’s liability is excluded as far as the Purchaser has effectively limited its ow n liability against its customers. The Purchaser shall undertake its best efforts to agree limitations on liability to the extent admissible by law - also in favor of EURAFCO GmbH - with its customers.

9.4. If EURAFCO GmbH is liable pursuant to section 9.3. on the merits for damages caused by the slightly negligent breach of contractual obligations, or for damages caused by gross negligence or willful acts of its vicarious agents without the breach of cardinal obligations such liability shall be limited to dama ges that are typical and foreseeable under the contract at hand.

9.5. Indirect or consequential damages which result from defects of the delivery items delivered shall only be compensated as far as such damage can be typically expected in the course of the cus tomarily use of the delivery items.

9.6. If EURAFCO GmbH provides technical information or advice, which advice is not part of EURAFCO’s contractual undertakings; it shall be provided free of charge and under exclusion of any liability.

9.7. In case the Purchaser intends to assert a claim against EURAFCO GmbH in accordance with the preceding provisions, it shall promptly notify EURAFCO GmbH hereof, provide comprehensive information and consult with EURAFCO GmbH . Purchaser shall give EURAFCO GmbH the opportunity to examine the case of loss. The parties to the contract agree to consult each other on the measures to be implemented, particularly in settlement negotiations.

10. Export Regulations – prerequisites to be met for deliveries by EURAFCO GmbH

Delivery by EURAFCO GmbH shall be subject to the proviso that any necessary export permits have been granted and there are no other obstacles to the delivery items being exported by EURAFCO GmbH as exporter/carrier or one of EURAFCO's suppliers as a result of any export or t ransportation regulations which have to be complied with. EURAFCO GmbH is exporting acc. the guidelines and terms of the United Nations and their sub organizations, the export regulations of the Federal Republic of Germany and European Union.

11. Final provisions

11.1. If the Purchaser is a merchant, EURAFCO’s registered office is the proper legal venue. However, EURAFCO GmbH shall also be entitled to bring an action against the Purchaser at any other given legal venue.

11.2. All deliveries shall be governed by the law of the Federal Republic of Germany. The application of the United Nations Convention on Contracts for the International Sale of Delivery items (CISG) of 11 April 1980 is excluded.

11.3. If any provision of these General Terms and Conditions of Delivery is found to be invalid, this shall not affect the validity of the remaining provisions. The contractual partners shall reach agreement on the replacement of the invalid provision with a substitute provision which comes closest to the originally intended economic purpose. This provision shall also apply if any gaps or omissions in these General Terms & Conditions of Delivery are discovered.
